Ordering:
All orders imply the customer’s express and unreserved acceptance of the present terms and conditions of sale, and constitute a waiver of any application of the customer’s own terms and conditions of sale.
Orders are placed mainly by telephone, e-mail and via our website www.welye.com.
A confirmation of receipt of the customer’s order is automatically sent by e-mail.
Orders are taken into account until 5:00 p.m. each working day, after which time they are deemed to have been received the following day (unless otherwise specified).
The Company endeavors to maintain access to its websites 24 hours a day, and to make its services available to customers from Monday to Friday (according to the Company’s opening and closing hours).
However, the company cannot be held liable for any interruption in service, particularly for maintenance or technical reasons.
The customer declares that he/she is aware of the technical limitations of Internet technology, particularly with regard to the consultation of information and the transfer of files, and of the risks associated with this technology.
The company reserves the right to cancel any order in the event of verbal or physical abuse of the company’s employees, subcontractors, managers or customers, the use of foul language being considered as verbal abuse.
Execution of the order begins as soon as the order is placed.
Consequently, in the event of cancellation of an order, we reserve the right to invoice the costs incurred, in particular the raw materials supplied, and to claim compensation corresponding to a minimum of 30% of the order amount.
In the absence of a Purchase Order in due form, the acceptance of the Print Order or Plotter by the customer, or the payment thereof, constitutes acceptance of the quotation proposed by Welye.
Quotations and prices :
Our quotations are valid for one month.
Prices are subject to change without notice.
Preparatory work carried out at the customer’s request may be invoiced to the customer if no action is taken after one month.
Prices are invoiced on the basis of the price list in force on the day of the order, and are in euros, excluding shipping costs.
Payments :
Notwithstanding the provisions of article L. 144-6 of the French Commercial Code, payment for orders may be made by 3 different methods: – by credit card – by bank transfer – by cheque sent to our head office.
In the case of payment by cheque, production only begins after receipt of the payment voucher.
Similarly, in the case of payment by bank transfer, production begins only on receipt of the transfer.
Our services are payable on the date of invoice, unless special conditions are expressly agreed by Welye.
No discount will be granted for early payment.
Penalty for late payment (in case of special agreement):
Any delay in payment will result in a penalty equal to the latest ECB refinancing rate plus 10 points, calculated pro rata temporis on the outstanding sums.
Billing :
An invoice is issued after each order.
Note: Invoices are not sent by post but by e-mail (unless otherwise requested).
Delivery times :
Delivery will be made to the address indicated by the customer on the order acceptance form and will be deemed to have been made when the order arrives at the said address.
Delivery times are given purely as an indication and without guarantee.
Any delay in the execution of orders shall not constitute grounds for cancellation of the order, refusal of the goods or entitlement to damages.
Indicative lead times appearing on the www.welye.com website or on your quotation may be subject to revision if the customer’s files need to be updated or if they do not comply and have to be sent to the Company again.
Production can only take place if the customer’s obligations to the seller are up to date, and in particular if there is no delay in payment, including for orders other than the one to be delivered.
Goods, even carriage paid, travel at the risk of the recipient, who is responsible for checking that they are in good condition at the time of delivery.
This verification must cover the quality, quantities and references of the goods, as well as their conformity with the order.
Transport times are never guaranteed.
Any delay due either to the customer’s failure to submit the required documents or the accepted press proof by the agreed date, or to the occurrence of force majeure, will justifiably result in the application of additional deadlines.
Subcontracting :
Welye reserves the right to entrust its subcontractors with the total or partial execution of the order.
*Certifications :
To guarantee an eco-responsible approach for some of its printing jobs requiring certification for the customer, Welye entrusts the work to a company that has obtained the following certifications and labels: Imprim’vert, PEFC, FSC and Iso 9001.
Files and proofs :
Any customer is presumed to be the owner of the reproduction rights of the documents, images, logos, fonts, benefiting from intellectual property laws, which he entrusts to the Company for printing.
The customer assumes full responsibility for any damages that may be claimed by a third party.
The computer files required to produce the printed product must be supplied by the customer.
They must strictly comply with our company’s technical specifications (available on request).
As our prints are mainly amalgamated (i.e. grouped together with work from other customers), the customer accepts without reservation the technical constraints associated with this type of printing:
– shaping tolerances of approx. 1 mm
– slight color variations
– when reprinting, even from identical files, color rendering can never be 100% identical
It is also agreed that we are not liable for printing defects, colorimetry, fonts, banding, text hunting, image conversions, in the event that these defects are present in the customer’s files.
The Customer also acknowledges that he/she is aware that page layout software never guarantees 100% reproduction of the file displayed on the screen, and that successive processing may lead to results that differ from those displayed on the screen or printed on a desktop printer or connected copier.
Welye reserves the right to make any modifications it deems necessary to files supplied by the customer which do not comply with the technical specifications (bleed, resizing, Pantone color conversion, RGB image conversion, etc.).
Likewise, the Company reserves the right to refuse any order if the files do not comply with the technical specifications.
For all these reasons, the Company cannot be held responsible for any failure to comply with technical constraints.
To limit these risks, we strongly recommend that you produce a calibrated control proof (called Bon à Tirer B.A.T.) to guarantee the integrity of the file to be printed.
The customer’s signature on the proof or plotter constitutes acceptance of the print or production run as is.
Any rework or re-production caused by anomalies or errors not reported by the customer will be entirely at the customer’s expense.
The Print Order, signed by the Customer, releases Welye from any liability, subject to corrections made on the Print Order.
Author’s corrections will be invoiced separately to the customer, according to the work required or time spent.
Dispute management :
All disputes are subject to conciliation and arbitration, unless one of the parties refuses.
Claims and Penalty Clause :
Without prejudice to the provisions of article 5 paragraph 5 hereof, any damage, shortages or packaging defects noted on receipt of the packages must imperatively be noted on the transport receipt after careful inspection of the delivery and be the subject of a letter with acknowledgement of receipt sent to the carrier within a maximum period of 48 hours, with a copy to Welye.
Under no circumstances may disputes with carriers justify non-payment of invoiced goods.
Any dispute concerning the quality of the goods can only be accepted within 3 working days at the latest following the date of actual receipt of the goods or the date of signature of the discharge, made to the carrier.
Complaints must be sent by registered letter to the head office of Welye.
In the event of defective delivery, our company guarantees only the exchange of goods for products conforming to the details of the order, to the express exclusion of all damages for loss suffered directly or indirectly, and in particular in the event of force majeure, an act of God or an event which makes it impossible for our company to fulfil its obligations.
In view of accepted industry practice and the technical constraints associated with our products, our company is not bound to deliver the exact quantity specified in the order.
The customer is obliged to accept a tolerance of plus or minus 5% of the quantities specified.
